Can a foreign company own 100% of an Indian subsidiary?+

Yes - under the automatic FDI route, most sectors permit up to 100% foreign ownership of an Indian Private Limited company, with no prior RBI approval needed. Certain sectors require government approval or have sectoral caps; we assess this in your first consultation.

What is the difference between a subsidiary, branch office and liaison office?+

A subsidiary is a separate Indian legal entity with full commercial rights. A branch office lets a foreign company undertake specific permitted activities (like consultancy or export/import) without incorporating a new entity. A liaison office can only represent the parent and cannot invoice or earn revenue in India. Project offices are time-bound, tied to a specific contract.

How long does it take to set up an Indian subsidiary?+

Typically 7-14 business days for incorporation once KYC and documents are ready, followed by post-incorporation compliances (PAN, TAN, bank account, GST if applicable) over the following 2-4 weeks.

Do we need a resident director?+

Yes - Indian law requires at least one director who has been resident in India for 182+ days in the preceding calendar year. We offer a qualified, ICAI/ICSI-registered resident director service if you don't have one.

What FEMA/RBI filings will our subsidiary need?+

Most foreign-invested Indian entities need to file Form FC-GPR on share allotment, an Annual Return on Foreign Liabilities & Assets (FLA), and - where applicable - ECB or ODI filings. We manage the full calendar.
